Relación de alta dirección : concepto, regulación y situación de concurrencia con cargos de administración social. Análisis de subsistencia de la teoría del vínculo

Abstract

La relación laboral especial de alta dirección ha sido, desde sus orígenes, un concepto jurídico de interés debido a su peculiar encuadramiento dentro del ordenamiento laboral y a la especialidad de sus características con respecto a la relación laboral común. No obstante, el interés de su estudio se intensifica si se pone en relación con los cargos de administración social y se analiza la situación de concurrencia de ambas en un mismo sujeto. En el presente trabajo, se pretende abordar un análisis global de esta figura, y del tratamiento jurídico que tradicionalmente se le ha venido dando a los supuestos en los que concurre con la condición de administrador, con especial mención a la situación posterior a la entrada en vigor de la nueva redacción de la Ley de Sociedades de Capital.

From the outset, the special relationship of senior management has been a legal concept of interest due to its peculiar framing within the labor system and to the specialty of its characteristics with respect to the common labor relationship. However, the interest of its study gets enhanced if it set into relation with the positions of social direction and the situation of concurrence of both in the same subject is analyzed. In the present work, the main intention is to address an overall analysis of this figure, and the legal treatment that has traditionally been given to the cases in which one subject holds both positions, with special mention to the situation after the entry into force of the new wording of the Spanish Companies Act.
