Smart contracts y su aplicación al Derecho mercantil : análisis de sus funcionalidades, encaje jurídico y posibles aplicaciones

Abstract

Existen numerosas áreas en las que el Derecho deberá ser actualizado mediante la digitalización. Una de ellas es la contratación privada que, a través del aprovechamiento de la Distributed Ledger Technology y su aplicación del smart contract, aspira a conseguir un proceso considerablemente más rápido, autónomo y eficiente.

El presente trabajo tiene como objetivo fundamental demostrar que tal aspiración es posible gracias a la aplicación del smart contract a través de sus múltiples cualidades. Para llevar a cabo dicha demostración se abordarán: las diferentes limitaciones de los contratos privados convencionales, el estudio de la naturaleza y funcionamiento de los smart contracts, sus ventajas, el encaje legal de su aplicación y, finalmente, la identificación de las diferentes áreas mercantiles en las que pueda ser aplicado.

There are numerous areas in which Law requires to be updated through digitization. One of them is the private contracting process which, through the use of the Distributed Ledger Technology and its smart contract application, aims to achieve a considerably faster, more autonomous and more efficient procedure.

The main goal of the present paper is to prove that such aspiration is possible, thanks to the implementation of the smart contract application, through its multiple qualities. In order to carry out such demonstration, the following issues will be addressed: the various limitations of conventional private contracts, the study of the nature and functioning of the smart contracts, their advantages, the legal framework of their application and, finally, the identification of the different commercial areas in which they can be applied.
