Garantías “tangibles” sobre activos intangibles

Abstract

Este trabajo pretende dar una visión general acerca de la utilización de garantías basadas en bienes intangibles, dada la creciente importancia que han ido ganando estos activos en las empresas y su importante labor en el acceso a financiación. El desarrollo se centra principalmente en la constitución de garantías reales bajo la figura de hipoteca mobiliaria sobre propiedad industrial e intelectual, aunque también menciona otras formas de garantizar deudas utilizando este tipo de bienes, como la titulización. Para el estudio se ha recogido de una forma sintética toda la regulación tan dispersa que existe sobre la materia y se han presentado diversos problemas que pueden surgir en el tráfico de este tipo de garantías en relación a la valoración, posesión, localización, inscripción, división y delimitación de estos bienes inmateriales. Espero con este trabajo, aportar de una manera simple y estructurada una mejor compresión sobre esta materia que ayude a impulsar la confianza del mercado en este tipo de garantías.

This paper aims to provide an overview of the use of guarantees based on intangible assets, given the growing importance that these assets have been gaining in companies and their important role in the access to financing. It focuses mainly on the creation of security interests under the form of chattel mortgages on industrial and intellectual property, although it also mentions other ways of securing debt using this type of asset, such as securitization. For the study, it has been gathered in a synthetic way, all the dispersed regulation that exists on the matter and the diverse problems that can arise in the traffic of this type of guarantees in relation to the valuation, possession, location, inscription, division and delimitation of these intangible goods. I hope that this work will provide, in a simple and structured manner, a better understanding of this matter that will help to boost market confidence in this type of guarantee.
