Abstract

En el presente TFG se analiza el fundamento del derecho de separación en general, el supuesto de hecho que da lugar al mismo en supuestos de sustitución o modificación sustancial del objeto social, así como todas las cuestiones referidas a su ejercicio por parte del socio, poniendo especial énfasis en aquellos puntos o aspectos que mayor interés han generado entre nuestra doctrina y jurisprudencia, entre los que destacan la modificación de hecho del objeto social, las modificaciones estructurales que alteran el objeto social y el ejercicio indirecto del objeto social por medio de la adquisición de participaciones en otras sociedades.

The present work analyses the basis of the right of separation in general, the fact that gives rise to the right of separation in cases of substitution or substantial modification of the corporate purpose, as well as all the issues relating to the exercise of the right of separation by the shareholder, placing special emphasis on those points or aspects that have generated the greatest interest among our doctrine and jurisprudence, including the de facto modification of the corporate purpose, structural modifications that alter the corporate purpose and the indirect exercise of the corporate purpose through the acquisition of shares in other companies.
