Las SPACs: su auge, características y encaje en la regulación española

Abstract

El objetivo de este trabajo es analizar la figura de las Special Purpose Acquisition Companies, tratando de entender las razones que han hecho que este vehículo haya disrumpido el mercado de las salidas a bolsa. Será en particular de interés el análisis del entorno macroeconómico que ha propiciado la irrupción de las SPACs.

El análisis se centrará igualmente en los modelos jurídicos que asumen las SPACs, al igual que en el estudio de la legislación comparada con respecto a la materia, con un especial énfasis en el caso de Estados Unidos. Finalmente, se estudiará el encaje de las SPACs en el marco jurídico español al igual que los recientes cambios y tendencias legislativas en la materia en relación con la necesidad de transparencia por parte de los gestores de la SPAC.

The main objective of this paper is to analyze the Special Purpose Acquisition Companies phenomenon while diving into the deeper reasons why and how such a disruptive figure has taken the IPO markets by storm in the past few years. Studying which have been the propitious economic conditions that have made SPACs thrive in the recent years will also be a key element of investigation.

The analysis will also focus on the key characteristics and functioning of SPACs and on the study of the comparative law surrounding the subject, with a special emphasis on the United States and its influence. Finally, this work will investigate how SPACs could fit in the current Spanish regulatory system and what are the most recent trends regarding this theme, mainly focusing on the required transparency from the sponsors of the SPAC.
