Caso práctico : especialidad empresa

Abstract

El propósito del siguiente trabajo es elaborar un informe jurídico que aborde las diversas cuestiones societarias y mercantiles plateadas por el Grupo Castilla, que se encuentra en un contexto cambiante de constante crecimiento. Entre las cuestiones analizadas, nos encontramos con dos adquisiciones y una venta o desinversión. En los que respecta a las adquisiciones, la primera afectaría al departamento de golf perteneciente a Calzado Deportivo Castilla, S.L.U., y la segunda, al 25% de Zapaterías Castilla, S.A. Por otro lado, la desinversión se produciría en la sociedad Honmas, S.L. Finalmente, resaltar, que todas estas cuestiones se analizarán en aplicación del ordenamiento jurídico español y la interpretación de la normativa de los Juzgados y Tribunales nacionales y europeos.

The purpose of the following work is to prepare a legal report that addresses the various corporate and commercial issues raised by the Castilla Group, which is in a changing context of constant growth. Among the issues analyzed, there are two acquisitions and one sale or divestiture. Regarding the acquisitions, the first one would affect the golf department belonging to Calzado Deportivo Castilla, S.L.U., and the second one, the 25% of Zapaterías Castilla, S.A. On the other hand, the divestment would take place in the company Honmas, S.L. Finally, it should be noted that all these issues will be analyzed in application of the Spanish legal system and the interpretation of the regulations of the national and european Courts and Tribunals.
