INFORME SOBRE CUESTIONES PLANTEADAS Y ESTRATEGIA LEGAL A SEGUIR POR MARVELWEISSER, INC. EN EL SUPUESTO DE ADQUISICIÓN DE ACCIONES DE KVOTHE BEER, S.A.

Abstract

El presente trabajo pretende dar respuesta a las cuestiones jurídicas planteadas por la sociedad MARVELWEISSER, INC. en el supuesto de adquisición de la mercantil KVOTHE BEER, S.A., además de la principal estrategia a seguir para la adquisición de las acciones. En primer lugar, se pretende dar luz a las posibles acciones a interponer por DENNA, S.L. en virtud del contrato suscrito con KVOTHE, S.A. y las defensas de este último. De igual manera, las acciones que puede entablar D. Alberto Montenegro y las que se pueden ejercitar contra él. Paralelamente, se da respuesta a las consecuencias legales de la filtración de D. Alberto Montenegro a ESPUMAS DE MARBELLA, S.A. de las tensiones en el seno del consejo de la sociedad. Por último, se pretende dar respuesta a la situación de los 15 empleados de KVOTHE BEER, S.A. y de la hipoteca con BANKSUISSE, S.A. y pendiente de inscripción.

This paper aims to answer the legal questions raised by the company MARVELWEISSER, INC. in the case of acquisition of the company KVOTHE BEER, S.A., in addition to the main strategy to be followed for the acquisition of the shares. First of all, it is intended to shed light on the possible actions to be brought by DENNA, S.L. under the contract signed with KVOTHE, S.A. and the defenses of the latter. Likewise, the actions that Mr. Alberto Montenegro may bring and those that may be brought against him. At the same time, the legal consequences of Mr. Alberto Montenegro's leak to ESPUMAS DE MARBELLA, S.A. of the tensions within the Board of Directors of the Company are discussed. Finally, it is intended to respond to the situation of the 15 employees of KVOTHE BEER, S.A. and the mortgage with BANKSUISSE, S.A. and pending registration.
