Trabajo Fin de Máster

Abstract

Tras la consulta realizada por ABC Capital EU S.A.R.L. (“ABC”) y XYZ, S.L. (“XYZ”, y conjuntamente con ABC, los “Socios”) sobre la potencial operación de adquisición de la compañía Hidro Power, S.L. (“HP” o la “Target”), se exponen las respuestas a las cuestiones planteadas. El propósito de este Trabajo Fin de Máster (el “Trabajo” o “TFM”) es esclarecer las principales dudas expuestas por los Socios y tratar de dar una solución jurídica a los problemas que plantea la operación con HP (“Hidro Power Project” o la “Operación”, indistintamente). El Trabajo consta de: (i) Una primera exposición sobre las partes involucradas en la Operación, sus características más relevantes y la intención de los Socios tras la adquisición de HP (“Antecedentes de Hecho”). (ii) Un esquema en el cual se dibuja la operación proyectada; (iii) Un resumen ejecutivo en el que se exponen brevemente las soluciones a las preguntas de la potencial operación de adquisición; (iv) Una explicación más ampliada sobre dichas preguntas. A lo largo del Trabajo se irán incluyendo recomendaciones, sugerencias y contingencias que pueden surgir durante la Operación. Este Trabajo Fin de Máster va a ser realizado en formato informe. Se tratará de asesorar a los Socios que han acudido a mi despacho profesional (CABANES ABOGADOS, S.L.P.) formulando una serie de preguntas sobre la posible operación de adquisición.

Following the consultation carried out by ABC Capital EU S.A.R.L. ("ABC") and XYZ, S.L. ("XYZ", and jointly with ABC, the "Shareholders") on the potential acquisition of the company Hidro Power, S.L. ("HP" or the "Target"), the answers to the questions raised are presented. The purpose of this Master's Thesis (the "Work" or "TFM") is to clarify the main doubts expressed by the Shareholders and try to provide a legal solution to the problems posed by the operation with HP ("Hidro Power Project" or the "Operation", indistinctly). The Work consists of: (i) A first statement of the parties involved in the Transaction, its most relevant characteristics and the intention of the Shareholders following the acquisition of HP ("Background"). (ii) A scheme in which the projected operation is drawn; (iii) An executive summary briefly setting out the solutions to the questions of the potential acquisition; (iv) A more expanded explanation of these questions. Throughout the TFM, recommendations, suggestions and contingencies that may arise during the Operation will be included. This Master's Thesis will be carried out in report format. It will be about advising the Shareholder who have come to my firm (CABANES ABOGADOS, S.L.P.) asking questions about the acquisition.
