Nuevos mecanismos de representación de valores en los mercados

Abstract

El presente trabajo analiza el sistema de representación de valores negociables en España y en Estados Unidos, desde el surgimiento del sistema actual de anotaciones en cuenta hasta las más recientes experiencias de tokenización mediante tecnología de registros distribuidos. Si bien ambos ordenamientos construyeron sus respectivos sistemas de representación por medio de anotaciones em cuenta como respuesta a la incapacidad del título-valor físico para absorber el volumen y la velocidad de los mercados de capitales modernos, el propio sistema de anotaciones en cuenta presenta deficiencias estructurales que hoy en día la tecnología de registros distribuidos promete abordar.El trabajo parte del estudio del concepto de valor negociable en ambos ordenamientos y del sistema vigente de anotaciones en cuenta. A continuación, se examinan los fundamentos jurídico-económicos para el surgimiento y la transición hacia la tokenización. Después, se entra a estudiar en profundidad el funcionamiento de la representación de valores mediante tecnologías de registros distribuidos. El análisis concluye con una valoración comparada de ambos mecanismos para determinar si la tokenización supone realmente una mejora frente al sistema actual y con una reflexión sobre las perspectivas del futuro de ambos sistemas. La conclusión principal es que la tokenización no sustituirá a corto plazo la representación de valores mediante anotaciones en cuenta, sino que ambos coexistirán, quedando pendiente todavía un desarrollo legislativo más profundo tanto en Estados Unidos como en España.

This paper analyzes the system of representation of securities in Spain and the United States, from the emergence of the current book-entry system to the most recent tokenization experiences using distributed ledger technology. Although both legal systems developed their respective systems of securities representation through book-entry records in response to the inability of physical securities to accommodate the volume and speed of modern capital markets, the book-entry system itself presents structural deficiencies that distributed ledger technology now promises to address. The paper begins with a study of the concept of securities in both legal systems and of the current book-entry system. It then examines the legal and economic foundations underlying the emergence of and transition toward tokenization. Subsequently, it analyzes the functioning of securities representation through distributed ledger technologies. The analysis concludes with a comparative assessment of both mechanisms to determine whether tokenization truly represents an improvement over the current system, along with reflections on the future of both systems. The main conclusion is that tokenization will not replace the book-entry system in the short term; rather, both will coexist, with further legislative and regulatory development still pending in both the United States and Spain.
