Financiación de infraestructuras públicas en España: prenda sobre derechos de crédito futuros y su resistencia concursal

Abstract

El presente trabajo tiene por objeto la figura del Project Finance recogiendo en primer lugar, una síntesis del concepto y características del mismo, para abordar, a continuación un particular examen de los riesgos derivados de este tipo de estructura de financiación y los medios específicos utilizados por las entidades financieras que participan en este tipo de estructuras para paliar todos estos riesgos. En este sentido se estudiarán concretamente tres; (i) los contratos de cobertura, haciendo hincapié en la reciente Resolución de la CNCM sobre conductas anticompetitivas en el mercado de derivados de cobertura de tipos de interés de préstamos concedidos en Project Finance; (ii) los contratos de garantía suscritos para asegurar al devolución del préstamo, profundizando en la prenda sobre derechos futuros y la polémica que generan en el mundo jurídico y (iii) los step-in rights.

This essay aims to adress the financing system known as Project Finance. To begin with a description of the concept and main characterisitcs of this financing structure will have place. Then, an analysis of the risks associated with this type of financing system and the specific instruments used by financial entities in order to minimize their effects. In this line of thought, a further study on the following matters will be made; (i) hedge contracts, emphasizing the CNMC ́s recent resolution on the anticompetitive practices in the interest rate derivatives market in the area of Project Finance; (ii) the guarentee contracts signed to ensure the repayment of debt, focusing on the pledge on future credit rights and finally, (iii) the step-in rights clauses.
