dc.description.abstract | Las operaciones de adquisición apalancada (LBOs), son un método cada vez más frecuente para financiar empresas, consistente en la compra de una compañía con ayuda de una gran parte de deuda, que se amortizará con cargo a los recursos y flujos de caja de la sociedad Target. Estas operaciones son mayoritariamente realizadas por entidades de capital riesgo (ECR), que tienen como principal objetivo la obtención de participaciones societarias, para venderlas posteriormente y de ese modo obtener plusvalías considerables en un período corto de tiempo; aunque asimismo son realizadas por inversores industriales. A continuación, hablaremos de las operaciones Public to Private (P2P), cuyo mercado ha resurgido en los Estados Unidos, Reino Unido y en Europa occidental en la segunda mitad de los noventa, y que consisten en la compra apalancada de un Sociedad Target que cotiza en un mercado de valores, mediante la adquisición de participaciones significativas de empresas, que, una vez se ha concluido la adquisición, son excluidas del mercado. Se analizarán en profundidad las distintas fases por las pasa la operación durante el proceso de compra, así como el por qué de la exclusión de cotización de las Sociedades Target, y cuáles son las diferentes vías para hacerlo. Más tarde, estudiaremos las tendencias internacionales de estas operaciones, y terminaremos analizando la primera operación Public to Private en España. | es-ES |
dc.description.abstract | Leveraged Buyouts (LBOs) are an increasingly common method of financing companies. They consist in the acquisition of a company with the aid of a large amount of debt, which will be repaid from the resources and cash flows of the Target Company. These operations are mainly carried out by Private Equity firms, whose main objective is to obtain shares, to sell them later and thereby obtain considerable capital gains in a short period of time; although LBOs are also carried out by industrial investors. Then we will talk about Public to Private (P2P) operations, whose market has resurfaced in the United States, the United Kingdom and Western Europe in the second half of the nineties, and which consist of the leveraged acquisition of a Target Company that is listed in a stock market, through the acquisition of significant shares of companies. Once the acquisition has been completed, the shares are excluded from the market. The different phases will be analyzed in depth during the purchasing process, as well as the reason for the exclusion of quotation from the Target Companies, and what are the different ways to do it. Finally, we will study the international trends of these operations, and we will finish by analyzing the first Public to Private operation in Spain. | en-GB |
