El token como título valor

Abstract

Los tokens, gracias al fenómeno del blockchain, pero sobre todo de las ICOs se han convertido en un concepto conocido a nivel mundial. A raíz de este desarrollo tecnológico surgen una serie de cuestiones y problemas siendo las cuestiones legales y regulatorias en las que me voy a centrar a lo largo del trabajo. A día de hoy no hay un marco regulatorio único que ampare la actividad relacionada con la emisión e intercambio de tokens, sino breves comunicados a nivel nacional e internacional que se espera que puedan resultar en una regulación coherente y adecuada para el inversor, para el emprendedor, y para el estado. El objetivo último de este TFG es dilucidar si el token puede ser asimilable en cuanto a sus funciones y características a los títulos valores existentes a día de hoy o, si, por el contrario, debe enmarcarse en una categoría jurídica completamente nueva y separada. Para proceder con el análisis iré avanzando desde los conceptos más básicos de los sistemas de información distribuidos hasta las características particulares de los tokens y sus similitudes y diferencias con instrumentos y títulos valor tradicionales. Asimismo, haré un breve análisis de la situación internacional a día de hoy y de la postura de los países más influyentes en este aspecto.

The term token, thanks to the phenomenon of the blockchain, but essentially thanks to the rise of the ICOs has become a concept known worldwide. Because of this technological development, a series of issues and problems arise, being the legal and regulatory issues the ones that I am going to study throughout the work. To date, there is not a unique regulatory framework that covers the activity related to the issuance and exchange of tokens, but brief national and international communications that are expected to result in a coherent and adequate regulation for the investor, the entrepreneur and the state. The ultimate goal of this work is to determine if the token can be assimilated in terms of its functions and characteristics to existing securities or, if on the contrary, it should be framed in a completely new and separate legal category. To proceed with the analysis, I will start moving forward from the most basic concepts of the distributed ledger systems and then move to the characteristics of the tokens and their similarities and differences with traditional securities. Also, I will make a brief analysis of the international situation to date and the position of the most influential countries in this regard.
