La utilización de los smart-contracts en el contrato de compraventa mercantil

Abstract

En el presente Trabajo se analizarán los principales aspectos de la compraventa mercantil a través de smart contracts. Para ello, se llevará a cabo un análisis de los mismos, de las ventajas e inconvenientes que tendría este tipo de contratación, así como el encaje jurídico actual de la misma. Todo ello lo realizaremos desde un punto de vista jurídico, tanto a nivel nacional como internacional. En primer lugar, se explicará el marco teórico en el que opera este tipo de contratación, analizando qué es el blockchain y, en concreto, qué son los smart contracts, para posteriormente poder introducirnos en el concreto mundo de la compraventa mercantil vía smart contracts. Posteriormente, en virtud de la creciente globalización, consideramos de importancia extrapolar la contratación mercantil vía smart contracts al ámbito internacional, y esto lo haremos a través del análisis del marco legal de la compraventa mercantil internacional, protagonizado principalmente por los Incoterms, la Convención de Viena de compraventa de mercaderías, de 1980 y la Ley Modelo de Uncitral sobre Comercio electrónico. Finalmente, se ofrecerá una serie de conclusiones para tratar de arrojar luz sobre el tema tratado.

In this paper, we will analyse the main aspects of commercial sales through smart contracts. For this purpose, an analysis of this subject will be carried out, as well as of its advantages and disadvantages, and its current legal framework. We will do all this from a legal point of view, both nationally and internationally. Firstly, the theoretical framework in which this type of contract operates will be explained, analyzing what blockchain is and, specifically, what smart contracts are, so that we can subsequently enter the specific world of commercial sales via smart contracts. Subsequently, by virtue of the increasing globalization, we consider it important to extrapolate the mercantile contracting via smart contracts to the international scope, and we will do this through the analysis of the legal framework of the international mercantile buying and selling, propagandized mainly by the Incoterms, the Vienna Convention of buying and selling of goods, of 1980 and Model Law of UNCITRAL on Electronic Commerce. Finally, a series of conclusions will be offered in order to try to shed light on the topic covered.
