Garantías a primera demanda : naturaleza jurídica y alcance práctico

Abstract

El comercio internacional ha sufrido una gran expansión desde mediados del siglo pasado hasta nuestros días en un mundo marcado por la globalización. En este contexto de crecimiento, también han aparecido ciertos riesgos vinculados a este tipo operaciones internacionales que han provocado la necesidad de nuevos tipos de garantías, entre ellas la garantía a primera demanda. Esta garantía a primera demanda presentó la novedad de que el beneficiario podía reclamar el pago de la garantía sin necesidad de demostrar en un primer momento el incumplimiento de la obligación garantizada.

Con este trabajo se pretende analizar las características de este tipo de garantías, su configuración y naturaleza jurídica, junto con su acogida por el ordenamiento jurídico y la jurisdicción española, que ha generado un gran debate jurídico y doctrinal, por las diferentes formas en las que se ha afrontado su estudio. Como a nivel internacional también ha tenido gran relevancia, se llevará a cabo un análisis del intento de instituciones internacionales por alcanzar una uniformidad en cuanto a su regulación, mediante la elaboración de textos normativos a los que pueden remitirse las partes o adherirse los Estados que así lo deseen. Además, dado que la garantía a primera demanda no ha sido la única figura que ha aparecido por el avance del comercio internacional, se llevará a cabo una comparación entre esta garantía y dos figuras como las standby letters of credit y las cartas de patrocinio.

International trade has undergone a great expansion since the middle of the last century until today in a world marked by globalization. In this context of growth, certain risks linked to this type of international operations have also appeared which have led to the need for new types of guarantees, including first-demand guarantees. This first demand guarantee presented the novelty that the beneficiary could claim payment of the guarantee without the need to prove the breach of the secured obligation in the first place.

The aim of this work is to analyse the characteristics of this type of guarantee, its configuration and legal nature, together with its acceptance by the Spanish legal system and jurisdiction, which has generated a great legal and doctrinal debate due to the different ways in which its study has been focused. As it has also reach relevance internationally, an analysis will be carried out of the attempt by international institutions to achieve uniformity in terms of regulation, through the drafting of normative texts to which the parties may follow or States can also adhere. In addition, since the first demand guarantee has not been the only figure that has appeared due to the advance of international trade, a comparison will be made between this guarantee and two figures such as standby letters of credit and comfort letters.
