Litigios financieros internacionales y arbitrajes de inversión. La sentencia Achmea o la crisis en el arbitraje europeo de inversión
Abstract
El fenómeno de la globalización ha afectado muy especialmente a la vertiente inversora del área económica. La facilidad de movimientos de capital que procura la globalización permite y habilita las inversiones más allá de las fronteras nacionales en busca de una mayor rentabilidad económica. Sin embargo, la mayor movilidad internacional hace que aumente la complejidad jurídica de los asuntos, provocando que surjan nuevos y complejos conflictos jurídicos internacionales y, por tanto, poniendo en tela de juicio la seguridad jurídica que se brinda a los inversores.
El objetivo principal de este trabajo es analizar algunos de los conflictos que subyacen en los litigios que surgen cuando los inversores privados adquieren activos financieros en el extranjero. Es decir, intentaré dar respuesta a preguntas tales como en qué Estado se ha de plantear la demanda cuando así proceda o en qué Estado se ha producido el hecho dañoso.
Por otra parte, el trabajo también se centrará en el estudio de la regulación normativa de las inversiones públicas europeas. Es decir, algunos Estados, tanto intra como extra europeos, han regulado las relaciones de inversión que mantenían con otros países mediante acuerdos materializados vía tratados bilaterales de inversión. Sin embargo, debido al alto coste de las indemnizaciones judiciales que se han visto obligados a abonar, los Estados son cada vez más recelosos a la firma de los mencionados tratados. En esta línea, el TJUE decidió recientemente ilegalizar las clausulas arbitrales contenidas en los tratados bilaterales de inversión. Expondré las causas de esta decisión y sus consecuencias. The phenomenon of globalization has particularly affected the investment side of the economic area. The ease of capital movements that globalization seeks allows and enables investments beyond national borders in search of greater economic profitability. However, the double side of the coin in relation to the greater ease of international movement is found in the fact that the legal complexity of relations increases, causing new and complex international legal conflicts to arise and, therefore, calling into question the legal security offered to investors.
In this way, the main objective of this paper is to analyze some of the conflicts that underlie the litigation that arises when private investors acquire financial assets abroad. In other words, I will seek to study and answer questions such as: in case of doubt, in which State should the lawsuit be brought? or in which State has the harmful event occurred?
On the other hand, the work will also focus on the state of regulation of European investments at the public level. In other words, some States, both within and outside Europe, have, until now, regulated the investment relations they maintained with other countries through the conclusion of bilateral investment treaties. However, due to the high cost of the legal compensation they have been forced to pay, States are increasingly wary of signing them. Along these lines, the CJEU recently decided to outlaw the arbitration clauses contained in bilateral investment treaties. I will explain the causes of this decision and its consequences.
