Los criterios CNMV sobre ofertas iniciales de criptomoneda: cuestiones jurídicas

Abstract

Las nuevas tecnologías y en concreto, la tecnología DLT y blockchain, están demostrando tener un gran potencial de cambio en el sistema financiero mundial. Las emisiones de criptomonedas y tokens (ICOs), basadas en la tecnología blockchain, están democratizando el acceso a la financiación y fomentando la formación de capital. No obstante, también conllevan importantes riesgos para la comunidad inversora y la sociedad en general. Las autoridades supervisoras de todo el mundo se enfrentan a la difícil tarea de afrontar el reto y proporcionar soluciones jurídicas ante esta realidad cambiante. En este trabajo, se introduce la tecnología blockchain y se analiza los principales criterios que sostiene la autoridad supervisora nacional (CNMV) sobre las ICOs, así como las posturas adoptadas por otras jurisdicciones en el ámbito internacional.

New technologies, and in particular DLT and blockchain technology, are demonstrating great potential for change in the global financial system. Initial coin offerings (ICOs) based on blockchain technology are democratizing access to finance and encouraging capital formation. However, they also carry significant risks for the investment community and society at large. Supervisory authorities around the world face the difficult task of meeting the challenge and providing legal solutions to a changing reality. In this paper, blockchain technology is introduced and the main actions of the national supervisory authority (CNMV) on ICOs are discussed, as well as the approaches taken by other jurisdictions in the international arena.
