Medidas de defensa ante una Oferta Pública de Adquisición de Acciones: comparativa con el derecho USA
Abstract
Este trabajo tiene como objetivo realizar un análisis comparativo del tratamiento dado en los sistemas español y estadounidense a las posibilidades de defensa del órgano de administración de una sociedad ante una oferta pública de adquisición de acciones u otros valores. Asimismo, se estudia una posible ampliación de las facultades de defensa de los administradores en las sociedades españoles según lo observado en el sistema estadounidense.
Para realizar este análisis, en primer lugar se revisa el régimen existente de las posibilidades de defensa en las sociedades españolas, teniendo en cuenta tanto la regulación aplicable (incluyendo la directiva europea sobre ofertas públicas de adquisición) como la realidad práctica. A continuación, se examinan las posibilidades de defensa concedidas a los administradores en el sistema estadounidense, con especial atención a la jurisprudencia existente sobre el asunto. Finalmente, tras comparar ambos sistemas jurídicos, se estudian distintos modos posibles de ampliar las posibilidades de defensa de los administradores en el ordenamiento español.
En conclusión, mediante el presente trabajo se busca, a través de un análisis comparativo, resaltar las ventajas (y desventajas) del sistema estadounidense para terminar formulando algunas propuestas concretas sobre la ampliación de las posibilidades de defensa en el ordenamiento español y su posible encaje en la regulación actual. The objective of this work is to carry out a comparative analysis of the treatment given in the Spanish and American legal systems to the possibilities of defense of the board of directors of a corporation in the event of a takeover bid. Likewise, we take a look at a possible extension of the possibilities of defense of directors in Spanish corporations according to what has been observed in the U.S. system.
In order to carry out this analysis, we first study the existing system of defense possibilities in Spanish corporations, taking into account both the applicable regulation (including the European directive on takeover bids) and the actual practice. The possibilities of defense granted to directors in the US system are then examined, with special attention to the existing case law on the subject. Finally, after comparing the two legal systems, different possible ways of extending the defense possibilities of directors in the Spanish legal system are reviewed.
In conclusion, this dissertation seeks, through a comparative analysis, to emphasize the advantages (and disadvantages) of the U.S. system in order to end up formulating several specific proposals on the extension of the possibilities of defense in the Spanish system and its possible fit into the current regulation.
