La vulneración del artículo 285 Código Penal por el uso de información privilegiada en una operación bursátil
Abstract
El uso de información privilegiada genera una distorsión en el correcto funcionamiento del mercado de valores. Por ello, la mayor parte de los países han optado por considerar estas prácticas como ilícitas, haciendo posible la introducción tanto de sanciones administrativas como penales en sus respectivas normativas. En el ordenamiento jurídico español, el delito de uso de información privilegiada, o insider trading, aparece recogido en el artículo 285 del Código Penal; la estructura de este delito genera diferentes problemas de interpretación. El presente trabajo analiza las circunstancias que concurren en este delito mediante el estudio tanto de la legislación como de la jurisprudencia de Estados Unidos y de algunos países europeos. The use of privileged information generates a distortion in the correct functioning of the stock market. Therefore, most countries have chosen to consider these practices as illegal, making it possible to introduce both administrative and criminal sanctions in their respective regulations. In the Spanish legal system, the crime of insider trading is included in Article 285 of the Criminal Code; the structure of this crime generates different problems of interpretation. This paper analyzes the circumstances surrounding this crime by studying both the legislation and the case law of the United States and some European countries.
