TRABAJO FIN DE MÁSTER DE ACCESO A LA ABOGACÍA

Abstract

Este trabajo de fin de máster trata la alteración de diversos contratos tras la aparición del coronavirus en España. En concreto, estudia qué soluciones pueden darse al caso de un empresario que ha firmado un contrato de opción de compra de unas viviendas con la intención de arrendarlas a unos clientes en China, y que ve encarecido el precio del mercado de esas viviendas antes de que pueda firmar la compraventa. Asimismo, se plantea cómo puede este empresario, a nivel de consumidor, recuperar el precio pagado anticipadamente por varios servicios de reserva de vuelos, de hotel y de vehículo sin conductor de un viaje que ya no puede llevar a cabo por culpa del estado de alarma. Para todo ello, se estudiarán figuras legales como la cláusula rebus sic stantibus, la resolución contractual por la frustración del fin del contrato, la extinción de obligaciones contractuales por el acaecimiento de causas de fuerza mayor, la nueva normativa publicada por el Gobierno desde marzo de 2020 para hacer frente a diversas situaciones jurídicas que se generan con la aparición del coronavirus, entre otras.

This thesis deals with the alteration of different contracts after the appearance of coronavirus in Spain. Specifically, it studies what solutions can be given to the case of a businessman who has signed an option agreement to purchase some properties with the intention of renting them to his clients in China, and who sees the market price of these properties rise before he can sign the sale. Moreover, it deals with the possibility of recovering the price the businessman paid in advance, as a consumer, for various flight, hotel and driverless car reservation services for a trip he can no longer take because of the state of alarm. To this end, legal figures such as the rebus sic stantibus clause, the termination of contracts due to the frustration of the end of the contract, the extinction of contractual obligations due to the occurrence of force majeure, the new regulations published by the Government since March 2020 to deal with various legal situations caused by the appearance of coronavirus, among others, will be studied.
