Power and corporate governance in the hands of shareholders: a conceptual map of the institutional investor activism process

Abstract

El presente artículo desarrolla un mapa conceptual en el campo del activismo del accionista y su influencia sobre las decisiones de gobierno corporativo que toma el consejo de administración. Por medio de una revisión de literatura de 69 artículos académicos, categorizamos el activismo del inversor institucional según las motivaciones que empujan a ejercerlo, los factores y variables que influyen en su nivel de intensidad, los mecanismos para ponerlo en práctica y las repercusiones e impactos que puede ejercer, obteniendo una agrupación y orden de variables que contribuye a una mayor sistematización de este campo de estudio de cara a profundizar en futuras investigaciones.

This article develops a conceptual map in the field of shareholder activism and its influence on corporate governance decisions taken by the board of directors. After reviewing the literature of 69 academic articles, we categorized institutional investor activism according to the motives behind it, the factors and variables that influence its level of intensity, the mechanisms for putting it into practice and its repercussions and impacts, obtaining a group and order of variables that contribute to the greater systematization of this field of study in order to explore it in future research.
