Análisis jurisprudencial de la nulidad de las cláusulas abusivas por vulnerar la buena fe y el justo equilibrio
Resumen
Las condiciones generales de contratación han sido y continúan siendo, un foco objeto
de debate en relación a las distintas cláusulas que componen los numerosos contratos
que día a día se suscriben. En concreto aquellas cláusulas que tienen carácter abusivo.
El artículo 80 del TRLGCU recoge clasificación de cláusulas no negociadas
individualmente haciendo referencia a la concreción, claridad y sencillez en la
redacción, la accesibilidad y legibilidad y, por último la buena fe y el justo equilibrio
entre los derechos y obligaciones de las partes. Por tanto, se trata de controlar esta clase
de estipulaciones con la finalidad de proteger a consumidores y usuarios que se
encuentran en un plano distinto al del vendedor. Este trabajo hace una breve referencia a
los contratos en general, a las condiciones generales de contratación y a la normativa
referente a los consumidores y usuarios. Asimismo, ejemplifica el concepto de cláusulas
abusivas en una serie de supuestos donde distintos consumidores se vieron afectados
por este tipo de cláusulas y, de esta forma, el Tribunal Supremo concluyó fallando la
nulidad de dichas cláusulas. Finalmente se hace una breve referencia a las cláusulas
suelo puesto que aún siguen existiendo clientes de entidades bancarias cuyas
controversias que provocaron la firma de contratos que incluían este tipo de clausulas
siguen sin resolverse. The general conditions of contracting have been and are a controversial issue
concerning different clauses that compose the numerous contracts made every day. In
particular, those clauses with an unfair contractual nature. The article 80 of the
TRLGCU contains classification of clauses not negotiated individually in reference to
the specification, clarity and simplicity in the wording, accessibility and legibility and,
finally, the good faith and the right balance between the rights and obligations of the
parties. Therefore, it is a matter of controlling this type of stipulations with the purpose
of protecting consumers and users who are in a different position comparing to the
seller. The present analysis offers a brief reference to the contracts in general,
the general conditions of contracting and the regulation concerning consumers and
users. Likewise, it puts into practice the concept of unfair contractual clauses in several
cases where different consumers were affected by this type of clauses and, therefore, the
Supreme Court concluded ruling the nullity of the above mentioned clauses. Finally, it
also mentions briefly floor clauses since, nowadays, there are still clients from the
banks that continue without a solution to the problem that the sign of the
contracts, which included this type of clauses, caused.
