Abstract

El presente trabajo consiste en un análisis doctrinal y jurisprudencial de las distintas circunstancias que acontecen en torno a la sociedad mercantil Kvothe Beer, S.A, fundada por D. Alberto Montenegro, y que incurre en una serie de negocios jurídico-mercantiles con distintas sociedades de carácter mercantil. Mediante un profundo y detenido estudio de las circunstancias inherentes al caso, se tratará de dar respuesta a los distintos desafíos jurídicos que plantean las distintas relaciones existentes entre las sociedades mercantiles que figuran. Asimismo, se tratará de dar respuesta a estos desafíos aludidos con las herramientas legales que pone a nuestra disposición la Ley de Sociedades de Capital, con aplicación supletoria del Código Civil. Se analizarán las distintas consecuencias jurídicas derivadas de las relaciones preexistentes, así como los mecanismos contemplados en la ley para minimizar los riesgos y exigir responsabilidades a quienes haya obrado de manera negligente en relación con el fin social de la entidad mercantil. Por último, se aporta un informe jurídico que contienen las diversas estrategias que creemos que sería conveniente que Marvelweisser, Inc aplicara para una evolución y desarrollo existoso de las perspectivas societarias.

The present work consists of a doctrinal and jurisprudential analysis of the different circumstances that occur around the commercial company Kvothe Beer, S.A., founded by Mr. Alberto Montenegro, which is involved in a series of legal-mercantile businesses with different companies of a commercial nature.

By means of a deep and detailed study of the circumstances inherent to the case, we will try to give an answer to the different legal challenges posed by the different existing relationships between the commercial companies involved.

Likewise, an attempt will be made to respond to these challenges with the legal tools made available to us by the Capital Companies Law, with supplementary application of the Civil Code.

The different legal consequences derived from the pre-existing relationships will be analyzed, as well as the mechanisms contemplated in the law to minimize the risks and to demand responsibilities from those who have acted negligently in relation to the corporate purpose of the business entity.

Finally, a legal report is provided containing the various strategies that we believe it would be advisable for Marvelweisser, Inc. to apply for a successful evolution and development of the corporate prospects.
