Abstract

D. Alberto Montenegro es propietario de las compañías Kvothe Beer, S.A. y Denna, S.L. Así, esta primera tiene por objeto la producción de cerveza, mientras que esta segunda a la distribución de este producto, estando ambas ligadas por un contrato de distribución. En el presente caso, todas las controversias surgen tras la venta de Kvothe Beer, S.A. y la posterior terminación anticipada del contrato de distribución que unía a la empresa con Denma, S.A.

Así las cosas, en el presente caso se abordará un innumerable número de operaciones mercantiles y societarias que serán resueltas por el alumno a través de ocho diferentes cuestiones jurídicas. Se tratarán asuntos tales como la acción social de responsabilidad frente a los administradores de la sociedad, el quórum necesario para la conformación de un Consejo de Administración o la Indemnización por clientela, entre otras muchas cuestiones. Con todo, la posición de d. Alberto Montenegro es la más polémica dentro del caso, pues tras producirse la transmisión de la propiedad de la empresa cervecera Kvothe Beer, S.A. y, tras el nombramiento de d. Alberto Montenegro como administrador de esta, se plantean una serie de problemáticas que se abordarán en el presente caso.

D. Alberto Montenegro is the owner of the companies Kvothe Beer, S.A. and Denna, S.L. Thus, the purpose of the former is the production of beer, while the latter is the distribution of this product, both being bound by a distribution contract. In the present case, all the disputes arise after the sale of Kvothe Beer, S.A. and the subsequent early termination of the distribution contract that linked the company with Denma, S.A.

Thus, this case will deal with an innumerable number of commercial and corporate transactions that will be resolved by the student through eight different legal questions. Issues such as the social action of liability against the administrators of the company, the quorum necessary for the formation of a Board of Directors or the compensation for customers, among many other issues, will be dealt with. However, the position of Mr. Alberto Montenegro is the most controversial in the case, since after the transfer of ownership of the brewery Kvothe Beer, S.A. and the appointment of Mr. Alberto Montenegro as director of the company, a series of problems arise which will be addressed in this case.
