El prepack concursal: hacia una aplicación uniforme en España

Abstract

El Derecho concursal ha ido evolucionando hacia medidas preconcursales a fin de evitar alcanzar la situación de insolvencia del deudor. En este marco la Directiva de Reestructuraciones ha ofrecido una nueva figura en el panorama concursal español: el prepack concursal, consistente en la enajenación conjunta de la unidad productiva tras su preparación en la fase preconcursal gracias a la ayuda del experto en reestructuraciones. Esta figura ha ido evolucionando en el ordenamiento jurídico español desde una clara fragmentación mediante su regulación por los Juzgados de lo Mercantil, hasta la transposición de la Directiva de Reestructuraciones en la nueva redacción del TRLC. Si bien ha garantizado uniformidad y claridad en la aplicación de esta figura, parece que la Propuesta de Directiva será esencial a fin de alcanzar una aplicación uniforme en España del prepack concursal.

Bankruptcy law has evolved towards pre-bankruptcy measures in order to avoid reaching the situation of insolvency of the debtor. Within this framework, the Restructuring Directive has offered a new figure in the Spanish bankruptcy scene: the pre-packaged administration, consisting of the joint disposal of the productive unit after its preparation in the pre-bankruptcy phase thanks to the help of the restructuring expert. This figure has evolved in the Spanish legal system from a clear fragmentation through its regulation by the Mercantile Courts, to the transposition of the Restructuring Directive in the new wording of the TRLC. Although it has guaranteed uniformity and clarity in the application of this figure, it seems that the Directive Proposal will be essential in order to achieve a uniform application in Spain of the pre-packaged administration.
