El derecho al dividendo
Resumen
El conflicto surgido entre mayorías y minorías respecto a la aplicación del resultado en el contexto de las sociedades de capital cerradas ha supuesto motivo de preocupación por parte del legislador. Esto motivó la introducción del art. 348 bis en la Ley de Sociedades de Capital, mediante la Ley 25/2011, con el propósito de abordar el abuso generado por el atesoramiento injustificado de beneficios y brindar mayor protección al socio minoritario. Este artículo estuvo marcado por una gran controversia, lo que resultó en su suspensión hasta en tres ocasiones y fue posteriormente reformado. La reforma introducida por la Ley 11/2018 solventó gran parte de los problemas interpretativos y proporcionó al socio minoritario dos herramientas frente a los acuerdos abusivos adoptados por la mayoría en la aplicación del resultado del ejercicio: la acción de impugnación de acuerdos sociales (art. 204 LSC) y el derecho de separación (art. 348 bis LSC).
Este trabajo realiza un análisis detallado de este último artículo, desde su incorporación inicial hasta la actualidad, examinando cuestiones debatidas por la doctrina y pronunciamientos de la jurisprudencia en torno al mismo, especialmente en el reabierto debate sobre la existencia o no del derecho a un dividendo mínimo. Además, se realiza un estudio exhaustivo de la STS núm.9/2023, 11 de enero de 2023, la cual ha provocado amplio debate en el ámbito jurídico. Las principales dudas giran en torno a la posible suplantación de la voluntad social por parte del tribunal y la compatibilidad de los dos instrumentos de protección introducidos por la reforma. The conflict that has arisen between majorities and minorities regarding the distribution of profit in the context of closely held companies has been a matter of concern for the Spanish legislator. This led to the introduction of art. 348 bis in the Companies Act, by means of Law 25/2011, with the aim of addressing the abuse generated by the unjustified hoarding of profits and providing greater protection to the minority shareholder. This article was marked by great controversy, which resulted in its suspension on up to three occasions and was subsequently reformed. The reform introduced by Law 11/2018 solved many of the interpretative problems and provided the minority shareholder with two tools against abusive resolutions adopted by the majority in the application of the result of the exercise: the action to challenge corporate resolutions (art. 204 LSC) and the right of separation (art. 348 bis LSC).
This study carries out a detailed analysis of the latter article, from its initial incorporation to the present day, examining issues debated by the doctrine and pronouncements of the jurisprudence on the subject, especially in the reopened debate on the existence or not of the right to a minimum dividend. In addition, an exhaustive study is made of STS no. 9/2023, 11 January 2023, which has provoked wide debate in the legal sphere. The main doubts revolve around the possible supplanting of the company's will by the court and the compatibility of the two instruments of protection introduced by the reform.
