El arrastre de acreedores

Abstract

.El arrastre de acreedores constituye un mecanismo muy eficaz para alcanzar una reestructuración forzosa de la deuda y sortear así el concurso de acreedores. La Directiva UE 2019/1023 y el Texto Refundido de la Ley Concursal contemplan, además del tradicional arrastre intra-clases, el arrastre entre clases a semejanza de otros ordenamientos de corte anglosajón, lo que plantea ciertas novedades para la práctica española. Por ello, se hace necesario realizar un estudio de la institución y analizar los distintos elementos que componen el arrastre para observar cómo se han plasmado las directrices europeas en el nuevo Texto Refundido de la Ley Concursal con el objetivo de detectar ineficiencias o, incluso, posibles problemas.

.The dragging of creditors is a very effective mechanism to achieve a forced restructuring of the debt and thus circumvent the insolvency proceedings. The EU Directive 2019/1023 and the Consolidated Text of the Insolvency Law contemplate, in addition to the traditional intra-class dragging, the dragging between classes, similar to other Anglo-Saxon systems, which poses certain novelties for the Spanish practice. Therefore, it is necessary to carry out a study of the institution and analyze the different elements that make up the dragnet in order to observe how the European guidelines have been reflected in the new Consolidated Text of the Insolvency Law with the aim of detecting inefficiencies or even possible problems.
