Abstract

El supuesto planteado presenta una pluralidad de cuestiones de naturaleza societaria, con incidencia directa tanto en la estructura de la sociedad, como en la validez y alcance de determinadas decisiones societarias susceptibles de adopción por sus órganos sociales. En este contexto, el dictamen tiene por finalidad identificar el régimen jurídico aplicable, delimitar los límites legales y estatutarios relevantes y evaluar las alternativas jurídicamente viables, atendiendo a los intereses de la sociedad, de los socios o, en su caso, de los terceros potencialmente afectados.

The hypothetical scenario presented raises a plurality of issues of a corporate law nature, with a direct impact both on the company’s structure and on the validity and scope of certain corporate decisions that may be adopted by its governing bodies. In this context, the purpose of this opinion is to identify the applicable legal framework, define the relevant legal and statutory limits, and assess the legally viable alternatives, taking into account the interests of the company, the shareholders, and, where applicable, potentially affected third parties.
