Blockchain y el mercado de valores: regulación y comparativa internacional de las ICO

Abstract

En el presente trabajo se analiza la problemática jurídica que presenta el creciente fenómeno de las Emisiones Iniciales de Cripromonedas (ICOs). En primer lugar, se analizan algunos de los factores que desembocaron en la aparición de estas emisiones de criptoactivos y el el funcionamiento del ecosistema Blockchain en el que se desarrollan, para posteriormente analizar los desafíos que presenta su calificación jurídica en relación con su naturaleza y los derechos y obligaciones tanto de emisores como inversores. Para ello se repasará la regulación aplicada a las ICOs en distintos países y se analizarán las recomendaciones efectuadas en cada uno de ellos por los organismos reguladores de los mercados a fin de conocer la situación regulatoria actual y proponer alternativas que se adapten mejor a la complejidad de este fenómeno.

This paper analyzes the legal problems presented by the growing phenomenon of Initial Coin Offerings (ICOs). Firstly, some of the factors that led to the appearance of these cryptoactive emissions and the functioning of the Blockchain ecosystem in which they take place are analyzed, to later analyze the challenges presented by their legal qualification in relation to their nature and the rights and obligations of both issuers and investors. To this end, the regulation applied to ICOs in different countries will be reviewed and the recommendations made in each one of them by the market regulatory bodies will be analysed in order to understand the current regulatory situation and propose alternatives that are better adapted to the complexity of this phenomenon.
