Efectos tributarios de la separación del socio por falta de reparto de dividendos
Abstract
Las consecuencias tributarias que derivan del ejercicio del derecho de separación del socio ante la falta de distribución de un porcentaje legal mínimo de dividendos, regulado en el recientemente reactivado artículo 348 bis de la Ley de Sociedades de Capital española, pueden suponer un desincentivo para el socio que desea separarse de la sociedad y un riesgo para la solvencia de esta. En este trabajo se estudian las consecuencias tributarias del ejercicio del derecho de separación desde el punto de vista del socio saliente y de la sociedad de la que este se separa, así como la incidencia que el referido artículo 348 bis puede tener en las políticas tributarias de la sociedad. The tax consequences arisen when a partner exercises his right of separation in the case of not distribution of a minimum legal percentage of dividends, regulated in Article 348 bis Spanish Capital Stock Companies Act, which has been recently reactivated, may result in a disincentive to the partner that desires to separate from the company and a risk to the solvency of the own company. In this document, we study the tax consequences arisen, both in the partner and in the own company, as well as how abovementioned Article 348 bis can affects the tax policy of the company.
