Productos derivados financieros y su problemática

Abstract

El trabajo de fin de grado trata sobre los productos derivados financieros, en concreto, el contrato de swap o permuta financiera y la litigiosidad de estos productos en los años posteriores a la crisis financiera de 2008. Durante dicha época se comercializaron los contratos de swap obviando los deberes de información establecidos por la normativa reguladora del mercado de valores, lo que dio lugar a numerosos litigios cuestionando la validez de dichos contratos. En el trabajo se analizarán los deberes de información, su evolución y su regulación actual; y las consecuencias anudadas a su incumplimiento, la anulabilidad de los contratos de swap o permuta financiera por error como vicio del consentimiento.

This thesis deals with financial derivative products, specifically, the swap contract and the litigation of these products in the years following the financial crisis of 2008. During that period, swap contracts were marketed without complying with the information duties established by the securities market regulations, which gave rise to numerous lawsuits questioning the validity of these contracts. This paper will analyze the information duties, their evolution and current regulation; and the consequences of non-compliance, the annulment of swap contracts or swaps due to error as a defect of consent.
