Abstract

El presente trabajo examina el régimen jurídico de la inversión colectiva en España a través de la dualidad normativa articulada en torno a la Ley 35/2003, de Instituciones de Inversión Colectiva, y la Ley 22/2014, de entidades de capital riesgo. La primera, diseñada de cara al inversor minorista y caracterizada por la liquidez permanente y la supervisión ex ante, contrasta con la segunda, que transpone la Directiva AIFMD y desplaza el peso regulatorio hacia la sociedad gestora (SGEIC), a la vez que prescinde de la liquidez en favor de la rentabilidad a largo plazo. A partir de este marco dual, el trabajo examina la operación característica del Capital Riesgo: la adquisición apalancada (LBO), analizando su estructura financiera, las fases de ejecución y la problemática alrededor de la prohibición de asistencia financiera recogida en los artículos 143.2 y 150 de la Ley de Sociedades de Capital. Se estudia asimismo la evolución normativa en materia de fusiones apalancadas, culminada en el régimen especial del artículo 42 del Real Decreto-ley 5/2023. Finalmente, se ejemplifica el régimen del capital riesgo a través de la adquisición de MásMóvil Ibercom por los fondos Cinven, KKR y Providence en 2020, analizando a través de este supuesto real los mecanismos jurídicos vislumbrados a lo largo del trabajo: la función de la cadena de holding en cascada, la gestión del riesgo de asistencia financiera y la compatibilidad de las desinversiones de activos con la prohibición de asset stripping del artículo 78 de la Ley 22/2014.
This paper examines the legal framework governing collective investment in Spain through the regulatory duality established by Law 35/2003 on Collective Investment Institutions and Law 22/2014 on venture capital entities. The former, designed for retail investors and characterised by permanent liquidity and ex ante supervision, contrasts with the latter, which transposes the AIFMD Directive and shifts the regulatory focus towards the management company (SGEIC), while dispensing with liquidity in favour of long-term returns. Against this dual framework, the paper examines the defining transaction of private equity: the leveraged buyout (LBO), analysing its financial structure, execution phases and the issues surrounding the prohibition of financial assistance under articles 143.2 and 150 of the Companies Act. The regulatory evolution on leveraged mergers is also studied, culminating in the special regime of article 42 of Royal Decree-Law 5/2023. Finally, the private equity framework is illustrated through the 2020 acquisition of MásMóvil Ibercom by the funds Cinven, KKR and Providence, using this real transaction to examine the legal mechanisms identified throughout the paper: the function of the cascading holding structure, the management of financial assistance risk and the compatibility of asset disposals with the asset stripping prohibition under article 78 of Law 22/2014.
