Abstract

La tokenización de instrumentos financieros mediante tecnologías de registro distribuido (DLT) plantea al Derecho de los mercados financieros el reto de determinar quién asume la responsabilidad jurídica del registro, la custodia y la administración de los denominados tokens-valor. El presente trabajo analiza la figura de la Entidad Responsable de la Inscripción y Registro (ERIR), introducida por la Ley 6/2023 de los Mercados de Valores y de los Servicios de Inversión (LMVSI) como pieza central del nuevo modelo registral de instrumentos financieros tokenizados en España. Se examina, en primer lugar, el régimen jurídico de los cripto-valores en el marco dual MiCA/MiFID 2. A continuación, se estudian las funciones materiales de la ERIR en comparación con las infraestructuras clásicas del mercado secundario, en particular los depositarios centrales de valores (DCV) y las entidades encargadas de las anotaciones en cuenta. El trabajo concluye que la ERIR constituye un sujeto funcionalmente pluridimensional que concentra en un único operador las capas propias de un DCV, un proveedor de servicios de criptoactivos y un exchange centralizado, y que su régimen de responsabilidad, construido por analogía con el de las anotaciones en cuenta, adolece de lagunas relevantes que el desarrollo legislativo y reglamentario en tramitación deberá colmar.
The tokenization of financial instruments using distributed ledger technologies (DLT) poses a challenge for financial market law in determining who bears legal responsibility for the registration, custody, and administration of security tokens. This paper analyzes the role of the Entity Responsible for Registration and Record-Keeping (ERIR), introduced by Law 6/2023 on Securities Markets and Investment Services (LMVSI) as the central component of the new registration model for tokenized financial instruments in Spain. First, the legal regime for crypto-securities within the dual MiCA/MiFID 2 framework is examined. Next, the substantive functions of the ERIR are studied in comparison with traditional secondary market infrastructures, particularly central securities depositories (CSDs) and book-entry entities. The paper concludes that the ERIR constitutes a functionally multidimensional entity that concentrates within a single operator the functions of a CSD, a crypto-asset service provider, and a centralized exchange, and that its liability regime, constructed by analogy with that of book-entry systems, suffers from significant gaps that the legislative and regulatory developments currently underway must address.
