Voto y mercado financiero

Abstract

We are currently witnessing an intense debate and reshaping of the exercise and manner of voting by the shareholders, with their diverse and disparate origins. This period also marks a conscious break from the non-proportional allocation of voting rights to shareholders, challenging established norms and paradigms, and opening up a discussion of significant scope and possibilities. In recent years, there has been an attempt at revaluation, perhaps revitalization, and resizing of the right to vote and the vote itself, or, if preferred, the effective power of voting. This has been accompanied by various strategic behaviors from shareholders with diverse interests, as extensive as they are conflicting or non-convergent among themselves, and from the corporate entities themselves, particularly those of significant capital. They are aware of the broad scope that autonomy and the flexibility or freedom to configure the rights structure offer in a clear process of redefining the relationship and framework of power and control, especially in the context of dispersed ownership versus concentrated ownership.
