Abstract

El presente Trabajo Fin de Máster consiste en un dictamen jurídico sobre la viabilidad legal de un proyecto de energía solar fotovoltaica promovido por la empresa ECOSUN, que se desarrollará a través de la sociedad vehículo LIFE. El objetivo del trabajo es analizar cómo asegurar jurídicamente el uso del suelo necesario para la instalación y explotación del parque solar durante un largo plazo, garantizando estabilidad, seguridad jurídica y oponibilidad frente a terceros.

El dictamen estudia la situación de varias fincas rústicas afectadas por el proyecto, algunas de ellas no inscritas en el Registro de la Propiedad y otras en régimen de copropiedad. A partir de este análisis, se comparan las principales figuras jurídicas disponibles para el uso del suelo, como la compraventa, el arrendamiento, el usufructo y el derecho de superficie, concluyendo que este último es el instrumento más adecuado por su carácter real, su inscribibilidad y su utilidad para la financiación del proyecto.

Asimismo, se examinan los riesgos derivados del proindiviso, la suficiencia de los poderes otorgados por los copropietarios y las consecuencias de adquirir solo una parte del dominio. Finalmente, el trabajo propone soluciones contractuales y estrategias legales para reducir riesgos, proteger a la sociedad LIFE frente a terceros.

The present Master’s Final Project consists of a legal opinion on the legal feasibility of a solar photovoltaic energy project promoted by the company ECOSUN, to be developed through the special purpose vehicle LIFE. The aim of the project is to analyse how to legally secure the use of the land required for the installation and operation of the solar plant over a long period, ensuring stability, legal certainty and enforceability against third parties.

The opinion examines the situation of several rural plots affected by the project, some of which are not registered in the Land Registry and others subject to a co-ownership regime. Based on this analysis, the main legal instruments available for land use are compared, such as sale and purchase, lease, usufruct and the right of superficies, concluding that the latter is the most suitable instrument due to its real nature, its registrability and its usefulness for project financing.

In addition, the risks arising from co-ownership, the sufficiency of the powers granted by the co-owners and the consequences of acquiring only part of the ownership are examined. Finally, the project proposes contractual solutions and legal strategies to reduce risks and protect the company LIFE against third parties.
