Capítulo VI. De la convocatoria de la asamblea general de obligacionistas

Abstract

El Capítulo VI regula el procedimiento y los sujetos legitimados para convocar judicialmente la asamblea general de obligacionistas, estableciendo que, ante la falta de convocatoria voluntaria por parte del comisario del sindicato o del órgano de administración, los obligacionistas representando al menos una vigésima parte de las obligaciones no amortizadas pueden solicitar la intervención del Letrado de la Administración de Justicia, quien, tras verificar los requisitos legales y celebrar comparecencia, dictará decreto de convocatoria sin posibilidad de recurso, garantizando los derechos de los obligacionistas y la validez del proceso en el ámbito de la jurisdicción voluntaria..Chapter VI regulates the procedure and the parties entitled to judicially convene the general meeting of bondholders, establishing that, in the absence of a voluntary call by the trustee of the bondholders’ syndicate or by the management body, bondholders representing at least one-twentieth of the outstanding bonds may request the intervention of the Clerk of the Court (Letrado de la Administración de Justicia), who, after verifying the legal requirements and holding a hearing, shall issue a decree convening the meeting, without the possibility of appeal, thereby ensuring the bondholders’ rights and the validity of the process within the framework of voluntary jurisdiction.
