La selección del tipo de sociedad en función del tipo de actividad

Abstract

Este trabajo queda dividido en dos capítulos: En el primero de ellos se expondrá un análisis de los tipos societarios tradicionales junto con sus respectivos modelos más utilizados en la práctica. Se analizarán sus características más destacadas y los motivos por los cuales esos modelos societarios podrían resultar atractivos para constituir una sociedad. En base a estos, se elaborarán los principales parámetros de decisión que conllevarían la elección de un tipo societario u otro. El segundo capítulo se centrará en el análisis del emprendimiento empresarial con base tecnológica, concretamente las Startups como nuevo modelo de creación empresarial. El sector de la Start Up viene reivindicando una Ley de Start Up que busque una estrategia y un marco legal específico y que cuente con ventajas e incentivos de inversión para los emprendedores, por lo que a lo largo de este capítulo se analizará la propuesta de anteproyecto de Ley de la Start Up, las leyes vigentes mediante las que actualmente se regula este sector y sus respectivas problemáticas.This dissertation is divided into two chapters: In the first one, an analysis of the traditional corporate types will be presented together with their respective models commonly used in practice. It will analyze their most important characteristics and the reasons why these corporate capital models could be attractive when creating a company. Based on these, the main decision parameters that would lead to the choice of one type of company or another will be elaborated. The second chapter will focus on the analysis of technology-based entrepreneurship, specifically Start Ups as a new model of business creation. The Start Up sector has been demanding a Start Up Law that seeks a strategy and a specific legal framework and that provides advantages and investment incentives for entrepreneurs. Therefore, throughout this chapter we will analyze the proposed draft bill of the Start Up Law, the current laws that currently regulate this sector and their respective problems.
