Abstract

This Master's Thesis analyzes the legal structuring of a photovoltaic solar energy project promoted by ECOSUN through a special purpose vehicle (“SPV”) called LIFE, with the aim of guaranteeing the installation and operation of a photovoltaic park for a minimum period of thirty years, with maximum legal certainty and limitation of liability. The thesis systematically addresses the main legal challenges posed by the operation from a real estate, contractual, registration, financial, and environmental perspective. First, it examines the registration status of the land allocated to the project, identifying the need for prior registration of certain properties as an essential prerequisite for enforceability against third parties and the viability of financing. Next, it analyzes the different legal regimes that allow LIFE to be granted the use and enjoyment of the land through lease, surface rights, usufruct, and easement, comparatively assessing their stability, formalities, duration, taxation, and ability to serve as collateral for financial guarantees. The paper pays special attention to the co-ownership regime and the scope of the powers granted for the division of the common property and the subsequent contract with LIFE, distinguishing between acts of administration and acts of disposal. It also examines the appropriate legal procedure for the division of the common property and the procedural regime for notifications between co-owners. Finally, it examines the implications of a possible acquisition of the land, the rights of non-transferring co-owners, contractual alternatives to mitigate risks, the structuring of financing under a project finance scheme, and the associated guarantees. The paper concludes with an analysis of environmental liability and LIFE´s protective measures against contingencies arising from soil contamination or undeclared third-party rights.
