ESTRUCTURAS Y CONTRATOS DE FINANCIACIÓN BASADOS EN INCENTIVOS FISCALES

Abstract

El trabajo analiza las estructuras contractuales y los vehículos jurídicos mediante los cuales se transmiten incentivos fiscales del Impuesto sobre Sociedades entre contribuyentes en el ordenamiento tributario español. El punto de partida es la asimetría estructural que existe cuando el contribuyente que genera una deducción fiscal prefiere transmitirla a terceros con mayor capacidad o interés en su aplicación, lo que ha dado lugar a dos instrumentos de transmisión: la Agrupación de Interés Económico (AIE), basada en el régimen de transparencia fiscal de los artículos 43 a 47 LIS, y el contrato de financiación del artículo 39.7 LIS, introducido en 2021 y reformado en 2022. El trabajo examina la evolución histórica del tax lease naval, el traslado del modelo AIE al sector audiovisual y al I+D+i, y el estado actual del mercado tras los pronunciamientos de 2023-2025: la consulta V2348-23, las resoluciones del TEAC de noviembre de 2024 que delimitaron los requisitos de sustancia económica exigibles a las estructuras de AIE de I+D+i, las sentencias del Tribunal Supremo de octubre de 2024 sobre la vinculatoriedad del informe motivado, y las resoluciones de unificación de criterio del TEAC de julio de 2025 sobre la consignación de deducciones en autoliquidación. Se analiza también el impacto de los regímenes forales del País Vasco y Navarra, que ofrecen porcentajes de deducción superiores al régimen estatal general, y el Régimen Económico Fiscal canario como tercer vértice del sistema. El análisis concluye con una valoración crítica sobre la desconexión entre la eficiencia financiera del sistema y su impacto cultural efectivo, y formula cuatro propuestas de reforma: evaluación de impacto cultural ex post vinculante, certificación diferenciada del ICAA, criterios cuantitativos de proporcionalidad para el margen del sponsor en AIEs de I+D+i, y extensión del artículo 39.7 LIS a las deducciones del artículo 35 LIS.
The paper analyses the contractual structures and legal vehicles through which corporate income tax incentives are transferred between taxpayers under Spanish tax law. The starting point is the structural asymmetry that arises when the taxpayer generating a tax deduction prefers to transfer it to third parties with greater capacity or interest in applying it, which has given rise to two transmission instruments: the Economic Interest Grouping (EIG), based on the fiscal transparency regime of Articles 43 to 47 of the Corporate Income Tax Act, and the financing agreement under Article 39.7 LIS, introduced in 2021 and reformed in 2022. The paper traces the historical evolution of the Spanish naval tax lease, the extension of the EIG model to the audiovisual and R&D sectors, and the current state of the market following the key rulings of 2023-2025: DGT binding ruling V2348-23, the TEAC resolutions of November 2024 documenting circular self-invoicing schemes in R&D structures, the Supreme Court judgments of October 2024 on the binding nature of the motivated report, and the TEAC unification-of-criteria resolutions of July 2025 on the consignment of deductions in tax returns. The paper also examines the impact of the Basque and Navarrese foral regimes, which offer higher deduction rates than the general state regime, and the Canary Islands Special Economic and Tax Regime as a third pillar of the system. The analysis concludes with a critical assessment of the disconnect between the financial efficiency of the system and its effective cultural impact, and sets out four reform proposals: binding ex post cultural impact assessment, differentiated certification by the ICAA, quantitative proportionality criteria for the sponsor's margin in R&D EIGs, and extension of Article 39.7 LIS to the deductions under Article 35 LIS.
