Abstract

Este trabajo analiza, desde un enfoque práctico, las cuestiones jurídicas que surgen en un proceso complejo de reordenación interna y posterior venta de activos dentro del grupo Industrias Corellia. El estudio comienza examinando la reorganización societaria necesaria para separar el negocio de telecomunicaciones del resto de actividades, valorando la idoneidad de una escisión financiera y detallando los requisitos legales y formales que exige su aprobación e inscripción. Sobre esta base, se aborda también el impacto que la operación tiene sobre acreedores, socios minoritarios y sobre la estructura misma del grupo. En segundo lugar, se estudia la opción de capitalizar un préstamo concedido a Desarrollos Yavin a la luz del pacto parasocial firmado entre los socios, analizando su naturaleza jurídica, su eficacia interna, las consecuencias de un eventual incumplimiento y los mecanismos que el ordenamiento ofrece para exigir su cumplimiento efectivo. El trabajo continúa con el análisis de las autorizaciones necesarias para la venta del resto de líneas de negocio, en particular la posible obligación de notificar la operación a la autoridad de competencia y el régimen de control de inversiones extranjeras directas. Se examina asimismo el papel de las mayorías reforzadas cuando una operación afecta a actividades consideradas esenciales y las implicaciones que tendría la oposición de un socio minoritario. A continuación, se estudia el reparto de dividendos previo a la operación, determinando el importe distribuible, el procedimiento para acordarlo y su impacto sobre la valoración de la sociedad en el contexto de una compraventa. Una parte central del trabajo se dedica a la transmisión del negocio de telecomunicaciones. Se analizan los obstáculos regulatorios que pueden impedir cerrar la operación en un plazo breve —incluidas las autorizaciones en materia de telecomunicaciones, la inversión extranjera y la notificación a la CNMC—, y se examina la estructura habitual de un contrato de compraventa de participaciones, desarrollando las cláusulas por El estudio aborda también otras cuestiones vinculadas al proceso, como la extinción del pacto de socios vigente, la articulación de mecanismos de protección frente al incendio ocurrido en una de las plantas de producción, y la estructura de la coinversión entre Tradium e Incom Capital, analizando la configuración del órgano de administración, las materias reservadas y el régimen de responsabilidad del representante persona física de un consejero persona jurídica. Finalmente, se examinan las garantías financieras asociadas a la operación —incluida la prenda de participaciones y la hipoteca de inmuebles— y los límites que impone la prohibición de asistencia financiera. El trabajo concluye con el análisis de un conflicto post-M&A relacionado con la existencia de saldos incobrables, valorando las acciones que podrían ejercitarse contra los vendedores y contra los auditores, así como los aspectos procesales relevantes para su eventual defensa.
This paper analyses, from a practical standpoint, the legal issues that arise in a complex process of internal reorganisation and subsequent sale of assets within the Industrias Corellia group. The study begins by examining the corporate reorganisation required to separate the telecommunications business from the rest of the activities, assessing the suitability of a financial demerger and detailing the legal and formal requirements necessary for its approval and registration. On this basis, it also addresses the impact of the transaction on creditors, minority shareholders, and on the group’s structure itself. Secondly, the paper examines the option of capitalising a loan granted to Desarrollos Yavin in light of the shareholders’ agreement entered into by the partners, analysing its legal nature, its internal effectiveness, the consequences of a potential breach, and the mechanisms provided by the legal system to enforce its effective performance. The paper then continues with an analysis of the authorisations required for the sale of the remaining business lines, in particular the possible obligation to notify the transaction to the competition authority and the regime governing foreign direct investment control. It also examines the role of reinforced majorities when a transaction affects activities considered essential, as well as the implications that opposition from a minority shareholder would entail. The next section examines the distribution of dividends prior to the transaction, determining the distributable amount, the procedure for approving it, and its impact on the company’s valuation in the context of a share sale. A central part of the paper is devoted to the transfer of the telecommunications business. It analyses the regulatory obstacles that may prevent the transaction from closing within a short timeframe —including authorisations in the telecommunications field, foreign investment clearance, and notification to the CNMC— and examines the usual structure of a share purchase agreement, expanding on the relevant clauses. The study also addresses other matters related to the process, such as the termination of the existing shareholders’ agreement, the design of protection mechanisms in connection with a fire that occurred at one of the production plants, and the structure of the co-investment between Tradium and Incom Capital. It analyses the composition of the management body, reserved matters, and the liability regime applicable to the natural person representative of a corporate director. Finally, the paper examines the financial guarantees associated with the transaction —including the pledge over shares and the mortgage over real estate— and the limits imposed by the prohibition of financial assistance. The paper concludes with an analysis of a post-M&A dispute related to the existence of uncollectible receivables, assessing the actions that could be brought against the sellers and the auditors, as well as the procedural aspects relevant for their potential defence.
