Del reciclaje de "activos zombie" a la gestión de "joyas de la corona" en el private equity: la promesa de creación de valor de los continuation funds

Abstract

El presente Trabajo de Fin de Grado analiza los continuation funds como una de las manifestaciones más relevantes de la evolución reciente del private equity. El estudio presta especial atención a su justificación económica, a su encaje dentro del mercado secundario y a los principales riesgos que suscitan en materia de valoración, conflictos de interés y creación de valor. A partir de este marco, el trabajo examina si estas estructuras constituyen verdaderos instrumentos de creación de valor o si, por el contrario, pueden operar como simples mecanismos de reciclaje de activos, refinanciación de liquidez o aplazamiento de problemas de salida. Sobre esta base, el trabajo aborda la lógica económica del private equity, la centralidad de la desinversión dentro del modelo y la función del mercado secundario como respuesta a la iliquidez estructural de esta clase de activo. Finalmente, el análisis se proyecta sobre los continuation funds. En este punto se estudian su estructura, su racionalidad económica, los incentivos de los distintos intervinientes y las principales objeciones doctrinales y prácticas que plantean. En suma, el trabajo pone de relieve que los continuation funds surgen como respuesta a algunas de las limitaciones estructurales del private equity, pero también que su articulación plantea problemas específicos, especialmente en materia de valoración, alineación de incentivos y creación de valor.
This Final Degree Project undertakes an examination of continuation funds as one of the most significant manifestations of the recent evolution of private equity. Particular attention is devoted to their economic rationale, their role within the secondary market, and the principal concerns they give rise to in relation to valuation, conflicts of interest, and value creation. Within this framework, the study considers whether such structures may properly be regarded as genuine instruments of value creation or whether, on the contrary, they may operate merely as mechanisms for asset recycling, liquidity refinancing, or the deferral of exit-related constraints. On this basis, the study addresses the economic logic of private equity, the centrality of exit within that model, and the function performed by the secondary market in response to the structural illiquidity of this asset class. It then turns specifically to continuation funds, examining their structure, economic justification, the incentives of the parties involved, and the principal doctrinal and practical objections to which they give rise. In conclusion, the paper shows that continuation funds have emerged as a response to certain structural limitations inherent in private equity. At the same time, however, it demonstrates that their structuring gives rise to specific concerns, particularly in relation to valuation, the alignment of incentives, and the extent to which they can genuinely be said to create value.
