SOCIMI en España: Régimen Fiscal, principales problemáticas y referencia al derecho comparado

Abstract

Mediante el presente trabajo de investigación se analiza un tipo societario orientado a la inversión en el mercado inmobiliario: las SOCIMI. Este tipo especial de Sociedad Anónima presenta particularidades en su régimen fiscal sujeto al cumplimiento de una serie de requisitos establecidos en la Ley 11/2009, junto con sus posteriores modificaciones. A lo largo del trabajo se explica con detalle el régimen jurídico y fiscal de las SOCIMI, así como la justificación teórica del mismo y los principales problemas que lo rodean. Asimismo, se plantea la situación actual del mercado de SOCIMIs en España y una referencia al derecho comparado. De la investigación parece quedar claro que existen rasgos de extrafiscalidad en esta figura, así como una posible problemática respecto a las SOCIMI que no cotizan en mercados regulados.This research work analyzes a type of company oriented towards investment in the real estate market: REITS. This special type of corporation presents particularities in its tax regime subject to compliance with a series of requirements established in Law 11/2009, together with its subsequent amendments. Throughout the work, the legal and tax regime of SOCIMIs is explained in detail, as well as its theoretical justification and the main problems that surround it. The current situation of the SOCIMI market in Spain and a reference to comparative law are also discussed. From the research it seems to be clear that there are features of extra-taxation in this figure, as well as a possible problem with respect to SOCIMIs that are not listed on regulated markets.
