El derecho de separación por justa causa en el Derecho de sociedades de capital

Abstract

Este trabajo pretende analizar el derecho de separación por justa causa como la vía fundamental para solucionar los problemas del sistema de protección de los socios minoritarios. La configuración actual de este derecho presenta ineficiencias en la medida en que las causas legales y estatutarias de separación no son suficientes para cubrir todos los supuestos que pueden presentarse, siendo necesario abordar esta situación.

This paper aims to analyse the right of exit for a just cause as the main mechanism in order to solve the problems of the protection system of minority partners. The current configuration of the right of exit presents inefficiencies because the legal and statutory causes of exit are not sufficient to resolve all the events that may arise and it is necessary to address this situation.
