En su resolución de 13 de febrero de 2018 la CNMC sanciona a cuatro entidades de crédito por infracción muy grave del artículo 1 de la Ley de Defensa de la Competencia (LDC) así como del artícu-lo 1 del Tratado sobre el Funcionamiento de la Unión Europea (TFUE) por actuación concertada en la fijación de precios por encima de las condiciones de mercado en los derivados extrabursátiles utilizados como cobertura del riesgo de tipo de interés en préstamos sindicados en financiación de proyectos. La CNMC acepta que ni la fijación del precio de los tipos floor y swap en condiciones mercado o con coste cero ni tampoco aunque con algunas dudas la fijación de dichos tipos con un margen (spread) repre-sentan una conducta prohibida del apartado 1 de los artículos 1 LDC y 101 TFUE. Sin embargo, la deter-minación de un precio de los tipos superior al precio que hubiera derivado de su fijación en condiciones de mercado es ilícita cuando se realiza con desconocimiento de la parte financiada, lo que representa una restricción por objeto en forma. In its resolution of February 13, 2018 the CNMC sanctions four credit institutions for a very serious infringement of Article 1 of the Law on the Defense of Competition (LDC) as well as Article 1 of the Treaty on the Functioning of the Union. European Union (TFEU) for concerted action in setting prices above market conditions in over-the-counter derivatives used as hedges for interest rate risk in syndicated loans for project financing. The CNMC accepts that neither the fixing of the price of the floor and swap rates in market conditions or with zero cost nor, even though with some doubts, the fixing of these rates with a spread represent a behavior prohibited from paragraph 1 of articles 1 LDC and 101 TFEU. However, the determination of a price of the types higher than the price that would have resulted from its fixation in market conditions is unlawful when it is carried out with ignorance of the part financed, which represents a restriction by object in the form of a single offense. and continued in time within the meaning of Article 1 LDC and Article 101 TFEU.
