El impacto del factor independencia del consejo de administración en la rentabilidad de las sociedades del IBEX 35
Abstract
Este trabajo prosigue anteriores investigaciones académicas que han indagado sobre las funciones desempeñadas por los consejos de administración, su implicación estratégica y la repercusión de su conducta en la evolución de las compañías. Su objeto se ciñe a analizar el impacto del factor independencia de los consejos en la rentabilidad de las sociedades. Tras una obligada reseña de la literatura científica, y acogiendo la teoría de la agencia, intenta verificar el cumplimiento de esta hipótesis: si aquellas compañías administradas por consejos efectivamente regidos por el principio de independencia obtienen una mejor rentabilidad. Al ser las sociedades integrantes del IBEX 35 especialmente representativas y tener que respetar, como cotizadas, los códigos de buen gobierno y sus principios, como el de independencia, el estudio se circunscribe a los consejos de tales empresas y al periodo 2015-2017.
Tras definir diversas variables caracterizadoras del factor independencia en los consejos y aplicarlas al campo así definido, la conclusión obtenida es esta: la composición del consejo no influye en los resultados de las compañías. La investigación desarrollada ha evidenciado, además, que la implantación de los códigos de buen gobierno no ha mejorado realmente las prácticas de gobierno corporativo, al menos en cuanto a la independencia de los consejos. Se suscita la necesidad de modificar el código vigente, para que el factor independencia desarrolle todas sus potencialidades. This work continues previous academic research that has investigated the functions performed by the boards of directors, their strategic involvement and the impact of their behavior on the evolution of companies. Its purpose is to analyze the impact of the independence factor of the boards on the profitability of companies. After an obligatory review of the scientific literature, and welcoming the theory of the agency, it tries to verify the fulfillment of this hypothesis: if those companies administered by boards of directors effectively governed by the principle of independence obtain a better profitability. Since the IBEX 35 member companies are especially representative and have to respect, as quoted, the codes of corporate governance and their principles, such as independence, the study is confined to the boards of such companies and to the 2015-2017 period.
After defining various variables characterizing the independence factor in the boards and applying them to the field thus limited, the conclusion obtained is this: the composition of the board does not influence the results of the companies. The research carried out has also shown that the implementation of the corporate governance codes has not really improved these practices, at least in terms of the independence of the board. There is a need to modify the current code, so that the independence factor develops all its potentialities.
