Análisis general de las fusiones y adquisiciones : motivaciones, métodos de pago y estudio de casos internacionales

Abstract

Las fusiones y adquisiciones de empresas, también conocidas como operaciones de M&A, son uno de los métodos de crecimiento empresarial con mayor relevancia en el mundo financiero y mercantil. Las entidades llevan a cabo este tipo de operaciones con el objetivo de expandir sus negocios y aumentar sus beneficios. El presente trabajo estudia las características y tipos de M&A, siendo el núcleo del mismo los métodos de pago y las motivaciones que llevan a las entidades a realizar operaciones de fusión y adquisición de empresas. Se analizan las diferencias entre las distintas formas de financiar una operación de M&A y el impacto que tiene el pago en efectivo o en acciones para las sociedades que son parte de la transacción. Junto con esto, se analizan casos reales de operaciones de gran dimensión y se examinan sus características, las motivaciones, el método de pago aplicado y los resultados de las mismas.

Mergers and acquisitions of companies, are one of the methods of business growth with greater relevance in the financial and commercial world. The entities carry out this type of operations with the objective of expanding their businesses and increasing their profits. This paper studies the characteristics and types of M & A, being the nucleus of the same methods of payment and the motivations that take to the entities to carry M&A transactions. It analyses the differences between the different ways of financing mergers and acquisitions and the impact of the payment in cash or in shares for the companies that are part of the transaction. Along with this, we analyze cases of large-scale operations and examine their characteristics, motivations, the method of payment applied and the results thereof.
