This paper examines how image rights are treated in professional sports and, more importantly, where the boundary lies between legitimate tax planning and tax fraud. In recent years, cases involving athletes such as Messi, Cristiano Ronaldo and Xabi Alonso have attracted significant attention, highlighting the difficulty of distinguishing between lawful and unlawful conduct. The study first outlines the applicable legal framework, focusing on Article 92 of the Spanish Personal Income Tax Law and Article 305 of the Criminal Code. It then analyses key case law, using these three cases as a reference to show how similar situations can lead to different legal outcomes. The comparative analysis reveals that the issue does not lie in the use of companies itself, but in how they are used. What truly matters is whether there is real economic substance and, above all, whether there is a clear intention to avoid taxation.en-GB
